Terms and Conditions of Sale

These Terms and Conditions of Sale ("Terms") govern your access to and use of the website located at www.unitfivesupplies.ca (the "Site"), operated by Unit 5 Piercing Jewelry & Supplies ("we," "us," or "our"), and apply to all wholesale purchases of piercing jewelry and supplies made through the Site.

By accessing or using the Site, creating a wholesale account, or placing an order, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you may not access the Site or use any services.


1. Wholesale Account Registration

  • Eligibility: Our wholesale services are available exclusively to qualified businesses in the piercing and body modification industry. To register for a wholesale account you must have an active piercer on your team.

  • Verification: You agree to provide accurate, complete, and current information during the registration process, including but not limited to your business name, address and contact details. We reserve the right to verify your business credentials and may request additional documentation to approve your wholesale account. We may deny or revoke wholesale access at our sole discretion.

  • Account Security: You are responsible for maintaining the confidentiality of your account login information (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

2. Orders and Pricing

  • Wholesale Pricing: All pricing displayed on the Site is wholesale pricing and is visible only to approved and logged-in wholesale account holders. Prices are subject to change without notice.


  • Minimum Order Quantity (MOQ): NO MOQ

    • Local Pickup MOQ: There is no minimum order quantity for orders that are picked up directly from our Toronto location during designated pickup hours.

    • We reserve the right to adjust our MOQs at our sole discretion with prior notice.

  • Order Acceptance: All orders placed through the Site are subject to our acceptance. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product description, or suspicion of fraudulent activity. If we cancel an order, we will notify you and issue a refund if payment has been processed.

  • Product Availability: All products are subject to availability. While we strive to maintain accurate inventory, some items may be out of stock. We will notify you if an item you ordered is unavailable and offer alternatives or a refund for that item.

  • Custom Orders: Custom jewelry orders require specific agreements, often involving upfront deposits and longer lead times. Such terms will be outlined separately for custom orders. Custom jewelry sales are final once production begins.

3. Payment Terms

  • Accepted Payment Methods: We accept major credit cards (Visa, MasterCard, American Express, Discover), [list any other methods, e.g., PayPal, Interac e-Transfer, Wire Transfer].

  • Payment Due: Payment is due in full at the time of purchase unless otherwise agreed upon in writing (e.g., for approved Net 30 accounts).

  • Late Payments: For approved accounts with payment terms, any invoices not paid by the due date may be subject to a late payment charge of [e.g., 1.5% per month or 18% per annum], or the maximum rate permitted by law. We reserve the right to withhold future orders for accounts with outstanding balances.

  • Taxes: Applicable provincial sales tax (PST), Goods and Services Tax (GST), or Harmonized Sales Tax (HST) will be added to your order as required by Canadian law. You are responsible for all applicable taxes.






4. Shipping and Delivery

  • Shipping Costs: Shipping and handling costs are the responsibility of the buyer and will be calculated at checkout based on your order size, weight, and destination.

  • Shipping Carriers: We ship via Trexity, Canada Post, FedEx and UPS. You may select your preferred shipping method at checkout where options are available.

  • Delivery Times: Estimated delivery times are provided for your convenience but are not guaranteed. We are not responsible for delays caused by shipping carriers, customs, or unforeseen circumstances.

  • Risk of Loss: The risk of loss and title for items purchased from us passes to you upon our delivery to the carrier.

  • Shipping Address: You are responsible for providing an accurate and complete shipping address. We are not responsible for delays or non-delivery due to incorrect address information provided by you. Reshipment of returned orders due to incorrect addresses will incur additional shipping charges.

  • International Shipping: For international orders (outside Canada), you are solely responsible for any applicable customs duties, import taxes, brokerage fees, and compliance with local import regulations. We are not responsible for delays or seizures due to customs issues.

5. Returns, Exchanges, and Defects

  • Quality Guarantee: We take pride in the quality of our products. We guarantee that all products are free from manufacturing defects.

  • Defective Products: If you receive a defective product, please contact us within 7 days of receipt with details and photographic evidence of the defect. Unused, defective products can be exchanged or credited at our discretion.

  • Non-Defective Returns: All sales are considered final on non-defective items. In exceptional cases, and with our prior written approval, non-defective returns may be accepted but may be subject to a [e.g., 20%] restocking fee.

  • Return Authorization: All returns, whether defective or non-defective (if approved), must be pre-authorized by us and accompanied by a Return Authorization Number (RA#) provided by us. Returns without an RA# will not be accepted.

  • Condition of Returns: Returned items must be unused, unworn, in their original packaging, and in resalable condition.

  • Custom Jewelry: Custom jewelry sales are final and cannot be returned or exchanged unless there is a confirmed manufacturing defect.

  • Used Products: Returns of used products (e.g., items that have been sterilized, worn, or installed) generally require special approval and are only considered in cases of manufacturing defects directly impacting the product's intended function or safety.

6. Intellectual Property

  • Ownership: All content on the Site, including but not limited to text, graphics, logos, images, product descriptions, designs, and software, is the property of Unit 5 Piercing Jewelry & Supplies or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

  • Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for the purpose of purchasing our wholesale products.

  • Prohibited Use: You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its content for any commercial purpose without our express written consent. You may not use our trademarks, logos, or other proprietary information without our prior written permission.

  • Marketing Materials: You are permitted to use our product images and descriptions for the purpose of reselling our products in your own retail or online store, provided you do not misrepresent our products or brand.

7. Limitation of Liability

  • As Is: The Site and all products and services delivered to you through the Site are provided "as is" and "as available," without any representations, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

  • No Guarantee of Perfection: We do not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, or error-free.

  • Product Use: You acknowledge that piercing jewelry must be installed, maintained, and used by qualified professionals in accordance with industry best practices, local health regulations, and manufacturer instructions. We are not liable for any injury, damage, or loss arising from the improper installation, use, or maintenance of our products.

  • Maximum Liability: To the maximum extent permitted by applicable law, in no event shall Unit 5 Piercing Jewelry & Supplies, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

  • Jurisdictional Limits: Because some provinces/jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such provinces/jurisdictions, our liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Unit 5 Piercing Jewelry & Supplies and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Province of [Your Province, e.g., Ontario] and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

11. Entire Agreement

These Terms and any policies or operating rules posted by us on this Site or in respect to the service constitutes the entire agreement and understanding between you and us and govern your use of the service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms).

12. Changes to Terms

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website following the posting of any changes to these Terms constitutes acceptance of those changes.
